Consideration of a proposed amendment to Rule 19c-1 which expands the scope of off-board agency restrictions which an exchange is prohibited from imposing on its members.

Consideration of proposed Rule 11Ac-1 under the Se-
curities Exchange Act of 1934 which would require
all national securities exchanges and third market
makers to make available to quotation vendors all
bids, offers and quotation sizes with respect to re-
ported securities and that such quotations be "firm"
in price and size subject to certain exceptions.

Commissioners Loomis, Pollack, and Karmel determined that Commission business required consideration of these matters and that no earlier notice thereof was possible.

The General Counsel, in accordance with section 3(f)(1) of the Government in the Sunshine Act (5 U.S.C. 552b(f)(1)) and the Commission's rules issued under that Act (16 CFR 1012.4(e)(3)), hereby certifies that the Commission meeting of November 3, 1977, at which the Commission will consider a staff request for authority to seek a consent agreement in an FFA matter, may properly be closed to the public on the basis of the exemption set forth in the Commission's rules at 16 CFR 1012.4(d) (10).
